Terms of Use

NairaHQ Terms of Service

These Terms of Service ("Terms") are an agreement between you and NairaHQ Limited (RC 9823098), a company registered in Nigeria ("NairaHQ", "we", "us", "our"). They apply when you create an account on nairahqapp.com, subscribe to a NairaHQ plan, use an add-on module, or otherwise use any part of the NairaHQ service (the "Service").

If you use NairaHQ on behalf of a business or other organisation, you confirm that you are authorised to accept these Terms for that organisation, and references to "you" include that organisation. If you do not agree to these Terms, do not use the Service.

1. What NairaHQ is

NairaHQ is a cloud-based business finance and management platform. Depending on your plan and the modules available, the Service may include invoicing, customer and vendor records, expense and bill tracking, banking records, bookkeeping tools, financial reports, payment features, payroll tools, tax-related calculations, and optional add-on modules.

Features, plans and prices may change over time. We aim to describe only features that are available for the relevant plan or module. A feature shown as beta, preview, pilot or coming soon is not part of a paid commitment unless we state otherwise in writing.

2. Eligibility and your account

You must be at least 18 years old and legally capable of entering into a contract to use NairaHQ.

You must provide accurate registration and business information and keep it current. You are responsible for safeguarding your login credentials, devices, recovery methods and authorised users. Activity performed through your account will generally be treated as authorised by you unless you promptly report unauthorised access.

Two-factor authentication is included in every plan and may be required for particular roles, actions or security conditions. You agree to notify us promptly at support@nairahqapp.com if you suspect unauthorised access or misuse.

3. Trial

New eligible accounts start with a 14-day trial so you can evaluate NairaHQ before paying. Unless we state otherwise, the trial does not automatically convert into a paid subscription and we do not automatically charge you at the end of the trial.

At the end of the trial, you must subscribe to an available paid plan to continue full use. If you do not subscribe, your account may become restricted. Section 10 explains what happens to your data after a trial or subscription ends.

4. Plans, prices and subscription renewal

Current plans and prices are displayed on our website or in the Service in Nigerian naira unless another currency is clearly stated. Yearly plans may be offered at a discounted annual price. Where the website states that the annual price equals ten months of the monthly price, you pay that annual price for twelve months of access.

Add-on modules and optional services may have separate prices and eligibility requirements.

Subscriptions are renewed manually unless we explicitly introduce and you separately authorise an automatic-renewal option. When a paid subscription period ends, you have a 7-day grace period to renew. If you do not renew within the grace period, access may be restricted until the subscription is renewed.

We may change prices for future subscription periods. A price change will not retroactively change a period you have already paid for. The price shown at renewal is the price that applies to the new subscription period.

5. Payments and Paystack

Subscription payments are processed through Paystack or another payment provider we identify at checkout. We do not store your full card number or card security code. Payment providers process payment information under their own terms and privacy practices.

You are responsible for ensuring that the payment method and billing information you provide are accurate and that you are authorised to use them. Bank, card, transfer, foreign-exchange or other third-party charges are your responsibility unless we expressly state otherwise.

If a payment reaches us while an account or transaction needs manual review, for example because an account is suspended, a transaction is duplicated, or payment confirmation is delayed, we may hold the payment while we investigate. Do not make a duplicate payment unless support instructs you to do so. Contact support and provide the transaction reference shown to you.

6. Cancellations and refunds

You may stop using NairaHQ or choose not to renew at any time. Because subscriptions are manually renewed, cancelling normally means allowing the current paid period to end and not making another payment.

Except where Nigerian law requires otherwise, subscription fees already paid are generally non-refundable once the paid subscription period has started. If you believe you were charged incorrectly, paid twice, or paid for a service we could not provide, contact support@nairahqapp.com promptly with the payment reference. We will review the circumstances and correct confirmed billing errors.

If NairaHQ issues a discretionary refund, it does not create an obligation to issue the same type of refund in future cases.

7. Acceptable use and prohibited activity

You must use NairaHQ lawfully and in a way that does not harm the Service, other users, or third parties. You agree not to:

  • use the Service for fraud, money laundering, sanctions evasion, theft, identity abuse, tax evasion, or any other unlawful financial activity;
  • upload, create or process information that you do not have the right or lawful basis to use;
  • attempt to access another person's account, company workspace, credentials or data without permission;
  • probe, bypass, disable or interfere with security, authentication, rate limits, access controls, monitoring or availability;
  • introduce malicious code, automated abuse, scraping that materially burdens the Service, or content designed to compromise systems;
  • misrepresent your identity, business, transactions, invoices, payroll or records for a deceptive or unlawful purpose;
  • resell, white-label or provide NairaHQ as your own service unless we have agreed to it in writing; or
  • reverse engineer or copy protected elements of the Service except to the extent such restriction is prohibited by law.

We may investigate suspected misuse and may restrict, suspend or terminate affected accounts. Where reasonable and lawful, we will give notice and an opportunity to correct the issue. We may act immediately where necessary to protect users, data, funds, the Service or comply with law.

8. Your data and records

The business records you enter into NairaHQ, including invoices, bills, customer and vendor information, transactions, payroll entries, uploaded receipts and reports, remain yours or your organisation's. You give us the limited rights necessary to host, process, back up, transmit and display that information to provide and secure the Service.

We do not sell your business records. We do not alter your accounting records for our own business purposes. We may make technical changes needed to operate the Service, prevent abuse, comply with law, or carry out actions you request.

Where export functionality is available for the relevant data, NairaHQ supports exports in CSV and/or PDF. The exact format depends on the module and the type of record.

9. Customers, employees, vendors and other third-party data

If you enter personal information about your customers, employees, contractors, vendors or other people, you are responsible for having a lawful basis and any notices or permissions required to collect and use that information. For such data, your business will generally act as the data controller and NairaHQ will process the data on your instructions to provide the Service.

You must not use NairaHQ to collect excessive, irrelevant or unlawfully obtained personal information. If you receive a valid privacy request relating to information you control, you are responsible for responding to that request, and we will provide reasonable assistance where required and technically feasible.

10. If your trial or subscription ends

If your trial ends without a subscription, or a paid subscription lapses beyond the 7-day grace period, your account may be restricted. You may lose the ability to create, edit, process or send records, but your account data is not immediately deleted.

We will ordinarily retain account and business data for up to 90 days after the trial or subscription ends so that you can renew, restore access or export available records. After that period, we may delete or anonymise the data, subject to legal, tax, accounting, fraud-prevention, security, dispute or backup-retention requirements.

If you ask us to close your account and delete data earlier, we will process the request subject to information we are legally required or reasonably permitted to keep.

11. Tax, payroll, accounting and financial information

NairaHQ provides software tools and calculations to help you organise business information. NairaHQ is not your accountant, auditor, tax adviser, payroll adviser, lawyer, bank or financial adviser, and use of the Service does not create a professional-client relationship with NairaHQ.

Tax rates, payroll rules, pension rules, statutory deductions, filing requirements and other legal obligations may change. We work to keep supported calculations useful, but you remain responsible for reviewing your records, confirming the applicable rules, making required registrations and filings, paying amounts due, and obtaining professional advice where appropriate.

You should not rely on a generated tax amount, payroll result, report, reminder, AI-generated explanation or other software output as the sole basis for a legal, tax, employment or financial decision.

12. Third-party integrations and services

NairaHQ may connect with or link to third-party services such as Paystack, banks, email providers, support tools, external APIs, accounting data sources or other integrations. Third-party services are controlled by their providers and may be subject to separate terms, fees, outages, limits and privacy practices.

We are not responsible for a third-party service that becomes unavailable, changes its API, rejects a transaction, delays a transfer, suspends your account, or otherwise acts outside our reasonable control. We will use reasonable efforts to maintain supported integrations but do not guarantee that every integration will always remain available.

13. Availability, maintenance and changes

We work to keep NairaHQ available and reliable, but we do not promise uninterrupted, error-free or permanently available service. Maintenance, security work, software updates, internet failures, provider outages, emergencies and events outside our reasonable control may affect availability.

We may improve, add, replace or retire features. If we discontinue a feature that is material to a paid plan, we will aim to give reasonable notice where practicable. Backups are maintained for service recovery and business continuity, but they are not a substitute for exports or copies of records that you consider critical.

14. Intellectual property

NairaHQ and its licensors own the Service, software, designs, interfaces, branding, documentation and other intellectual property that we provide, excluding your data and third-party materials. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your trial or active subscription.

You may give us feedback or suggestions. If you do, we may use them without restriction or payment to you, provided we do not claim ownership of your confidential business data merely because it was included in feedback.

15. Confidentiality

Each party may receive non-public information from the other in connection with the Service. Each party will use reasonable care to protect confidential information and will use it only for the purposes for which it was disclosed, except where disclosure is authorised, already public through no breach, independently developed, or required by law.

16. Security responsibilities

We use technical and organisational measures designed to protect the Service, but security is a shared responsibility. You must use strong passwords, protect authentication devices and recovery methods, limit user access appropriately, remove former staff promptly, review suspicious activity, and keep your devices and browsers reasonably secure.

If your actions, credentials, devices, integrations or authorised users cause unauthorised access, you remain responsible for taking reasonable steps to contain the incident and cooperating with us.

17. Suspension and termination

You may stop using NairaHQ and request account closure at any time. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, engage in prohibited activity, fail to resolve a payment issue, or if we are required to act by law, a court, regulator or payment provider.

Where practicable, we will explain the reason and give you an opportunity to resolve the issue. Sections concerning fees already due, data retention, intellectual property, confidentiality, disclaimers, liability, disputes and other provisions that by their nature should survive will continue after termination.

18. Disclaimers

To the fullest extent permitted by law, the Service is provided on an "as available" basis. We do not guarantee that every feature will meet every business, accounting, tax, payroll, regulatory or technical requirement, or that outputs will be free from every error. You are responsible for reviewing important records and maintaining appropriate business controls.

19. Limitation of liability

To the fullest extent permitted by Nigerian law, NairaHQ will not be liable for indirect, incidental, special, exemplary or consequential loss, loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, or loss arising from decisions made solely in reliance on software-generated information.

To the fullest extent permitted by Nigerian law, NairaHQ's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the total amount you paid to NairaHQ for the Service during the 12 months immediately before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Nigerian law.

20. Indemnity

To the extent permitted by law, if your unlawful use of the Service, your content, your breach of these Terms, or your violation of another person's rights causes a third-party claim against NairaHQ, you agree to be responsible for the resulting reasonable losses, liabilities and costs to the extent caused by your conduct. This section does not require you to indemnify NairaHQ for losses caused by NairaHQ's own unlawful conduct.

21. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will give reasonable notice by email, an in-product notice, or another appropriate method before the change takes effect where practicable. The effective date at the top identifies the current version. Continuing to use the Service after updated Terms take effect means you accept the updated Terms.

22. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria.

Before starting formal proceedings, you and NairaHQ agree to make a reasonable good-faith effort to resolve the dispute by contacting the other party and describing the issue. If the dispute is not resolved, either party may pursue available remedies before a court of competent jurisdiction in Nigeria, subject to any mandatory rights or procedures that apply under Nigerian law.

23. General terms

If a provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law. A failure to enforce a provision immediately is not a waiver of that provision. You may not transfer your account or your rights under these Terms without our consent, except as part of a lawful transfer of your business where we approve the account transfer. We may assign these Terms as part of a merger, reorganisation, financing, sale of business, or transfer to an affiliate or successor, subject to applicable law.
